Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, platform, and services (collectively, the "Services") provided by SolidIntel, Inc., a Delaware corporation ("SolidIntel," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

1. Eligibility

The Services are intended for use by businesses and government organizations. You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

2. Account Registration

To access certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to notify us immediately at support@solidintel.com if you become aware of any unauthorized use of your account.

3. Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and any applicable subscription agreement. You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
  • Copy, modify, distribute, sell, or lease any part of the Services or included software;
  • Use automated means (including scraping, bots, or crawlers) to access the Services without our prior written consent;
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein;
  • Attempt to gain unauthorized access to the Services or any related systems or networks;
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Services.

4. Intellectual Property

The Services, including all content, features, functionality, software, text, graphics, logos, and trademarks, are owned by SolidIntel or its licensors and are protected by United States and international intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited license described in Section 3.

You retain ownership of any data you submit to the Platform ("Customer Data"). By submitting Customer Data, you grant SolidIntel a limited license to use, process, and store that data solely as necessary to provide the Services to you.

5. Subscriptions and Payment

Access to certain features of the Platform requires a paid subscription. Subscription terms, pricing, and payment schedules are set forth in your subscription agreement or order form. Unless otherwise stated:

  • Subscriptions automatically renew for successive periods of the same length unless either party provides written notice of non-renewal at least 30 days before the end of the current term.
  • All fees are non-refundable except as expressly set forth in your subscription agreement.
  • We reserve the right to change pricing with at least 30 days' notice before the start of a new subscription term.

6. Data and Privacy

Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge that you have read and understood our Privacy Policy.

7. Confidentiality

Each party may have access to confidential information of the other party in connection with the Services. "Confidential Information" includes any non-public information disclosed by one party to the other that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees to protect the other's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SolidIntel does not warrant that the Services will be uninterrupted, error-free, or completely secure. The information provided through the Platform — including supply chain risk assessments, entity data, and compliance reports — is intended for informational purposes and does not constitute legal, regulatory, or compliance advice. You are responsible for making your own independent assessment of any information obtained through the Services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLIDINTEL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLIDINTEL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO SOLIDINTEL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless SolidIntel and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — shall survive.

You may terminate your account at any time by contacting us at support@solidintel.com. Termination of your account does not relieve you of any obligation to pay fees incurred prior to termination.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.

13. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you by email or through the Services. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable subscription agreement, constitute the entire agreement between you and SolidIntel regarding the Services.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: The failure of SolidIntel to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. SolidIntel may assign these Terms without restriction.
